What legal right is supporting the vendors request for an audit?
Almost all major software vendors have contained “audit clauses” in their End User License Agreement (EULA). When you agree to the EULA, which is typically required before installing the product, you have agreed to this clause. In case you have not agreed to this clause the software vendor can still request you to perform an audit to avoid legal disputes when there are suspicions of unlicensed use whether intentionally or not.
Is cooperation with the audit mandatory?
An audit is an official request from the software vendor to receive accurate information regarding the usage of licenses. Providing cooperation is a good way to establish a better relationship and more understanding about licensing. A lack of cooperation might end up in litigation causing unnecessary costs and reputation damage.
